Corporate Crimes, Governance Gaps, And India’s Socio-Economic Order

Abstract
Corporate governance is essential to ensure transparency, accountability, and maintaining a balance of interests among various stakeholders. However, the rise in the number of corporate crimes in India, such as IL&FS fraud, Punjab National Bank fraud, and ABG Shipyard scam, DHFL scam etc, has not only caused financial losses to investors but also destabilised the economy and adversely affected the Socio-economic order in the country. It has exposed the close nexus between corporations and political entities, which is often seen in the form of lobbying and opaque political funding and has weakened the public confidence in democratic institutions and financial markets. To address these concerns, several legislative reforms were made under the Companies Act, SEBI regulations, and the Bharatiya Nyay Sanhita to maintain checks and balances and for detecting, preventing, and combating corporate crime.
This article examines various forms of corporate crimes such as fraud, Insider Trading, Embezzlement, data theft, etc and its socio-Political and economical impact. It further Legislative and Regulatory Developments towards Strengthening Corporate Governance and the role of an independent director in providing unbiased oversight over Board committees such as Audit Committee, Nomination and Remuneration Committee, Stakeholders Relationship Committee and Corporate Social Responsibility Committee, in enhancing companies’ compliance and ethical behaviour. Further, it investigates the interplay between corporate entities and political institutions, examining how corporate interests influence policy making, regulatory oversight, and law enforcement in India.
